The successful completion of a buy-out of one of the founding directors provided the opportunity to restructure and grow for independent specialist insurance broker, La Playa.
The company approached Price Bailey to advise on their transition to the next stage of their growth story.
Price Bailey had already worked with the company, providing its back-office function when it founded its wealth management subsidiary and was able to advise and guide the company from day one.
The new structure had to enable the business to acquire the exiting founder’s shares, accommodate the needs of a new incoming investor and provide a platform for employee incentivisation and growth
The Price Bailey Strategic Corporate Finance team identified a new corporate structure while the Tax Consulting team ensured the proposed structure was tax efficient and obtained clearance from HMRC for the proposed structure.
Price Bailey worked closely with the company‘s lawyers, management and investor to complete the transaction and move into the next stage of the growth plan to put additional debt finance into the business for proposed acquisitions and new offices.
As part of its growth plans the company has also embarked on an expansion program by increasing its existing presence in the US and plans to open an office in the Far East.
